Our Intellectual Property: All content on our website, including text, graphics, logos, images, software, and other materials, is the property of SaaSWise Consultants Private Limited or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on our website without our prior written consent.
Work Product: Unless otherwise agreed in writing in the applicable SOW, intellectual property rights in deliverables created specifically for a client during an engagement will be assigned to the client upon full payment. SaaSWise retains the right to use general knowledge, skills, experience, methodologies, and frameworks developed or refined during any engagement.
Pre-Existing IP: Each party retains ownership of its pre-existing intellectual property. Any pre-existing intellectual property of SaaSWise incorporated into deliverables will be licensed to the client on a non-exclusive, non-transferable basis for the purpose of using the deliverables.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the engagement. Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law. This obligation of confidentiality shall survive the termination of any engagement for a period of three (3) years.

You agree to indemnify, defend, and hold harmless SaaSWise Consultants Private Limited, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your breach of these Terms or your misuse of our services.
Either party may terminate a service engagement as follows:

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the courts in India.
Before initiating any formal legal proceedings, both parties agree to attempt to resolve any disputes through good-faith negotiation for a period of thirty (30) days. If the dispute remains unresolved, either party may pursue resolution through arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended.
SaaSWise reserves the right to modify or update these Terms at any time. Changes will be effective immediately upon posting the revised Terms on our website with an updated "Last Updated" date. Your continued use of our website or services after any modifications constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
These Terms, together with the Privacy Policy and any applicable Statement of Work or service agreement, constitute the entire agreement between you and SaaSWise Consultants Private Limited with respect to the subject matter hereof and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
